1. Service Description
SourciaVera provides factory verification and sourcing services for international buyers purchasing goods from manufacturers in China. Our services include, but are not limited to:
- Factory Verification — on-site visits to supplier facilities in China to assess legitimacy, production capacity, and pricing. We provide written reports, photos, and unedited video footage.
- Negotiation & Procurement — direct price negotiation with verified suppliers in Chinese, shipping coordination with freight agents, and delivery of a complete landed-cost quote.
- Consulting — general advice and guidance related to sourcing from China, provided via email or WhatsApp.
SourciaVera operates as an independent sourcing agent. We are not a freight forwarder, customs broker, or logistics provider. We do not take title to goods at any point.
2. Engagement & Scope
Each engagement begins when you submit an inquiry and we confirm acceptance in writing (email or WhatsApp). The specific scope of work, deliverables, timeline, and fees will be agreed upon prior to commencing any paid work. No service is provided without prior written confirmation from both parties.
We reserve the right to decline any inquiry at our sole discretion, including but not limited to inquiries involving restricted goods, apparent fraud, or activities contrary to applicable law.
3. Payment Terms
Our fee structure is as follows:
- Initial consultation — free of charge. We review your inquiry and confirm whether we can assist before any payment is requested.
- Factory Verification service — a fixed fee agreed upon before the visit, payable in advance via bank transfer, PayPal, or other mutually agreed method. This fee is non-refundable once the factory visit has been conducted.
- Negotiation & Procurement service — our fee is payable only upon successful completion of the negotiation and delivery of the final quote. If no deal is reached, no fee is charged for this service.
- Currency — all fees are quoted and payable in USD unless otherwise agreed in writing.
SourciaVera does not accept or hold client funds intended for supplier payment. Any payments to manufacturers or freight agents are made directly by the client.
4. Deliverables & Turnaround
Factory Verification reports are delivered within 48 hours of the on-site visit, unless otherwise agreed. Deliverables include a written assessment, photographs, and unedited video footage. Exact format will be confirmed at the time of engagement.
Timelines are estimates based on supplier availability and logistics. SourciaVera is not liable for delays caused by factors outside our control, including supplier cancellations, holidays, or travel restrictions.
5. Disclaimer of Warranties
SourciaVera provides information and assessments based on observations made during on-site visits and direct communication with suppliers. We do not guarantee:
- The accuracy, completeness, or currency of information provided by the supplier to us during a visit.
- The quality, conformity, or safety of any goods subsequently ordered by the client.
- The financial stability or ongoing reliability of any verified supplier.
- Any specific business outcome resulting from our services.
Our services are advisory in nature. The client retains full responsibility for all purchasing decisions. SourciaVera's reports represent our honest, independent assessment at the time of the visit — they are not a guarantee of supplier performance.
6. Limitation of Liability
To the maximum extent permitted by applicable law, SourciaVera's total liability to any client for any claim arising from or related to our services shall not exceed the total fees paid by that client to SourciaVera in the 6 months preceding the claim.
SourciaVera shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profit, loss of business, or financial loss resulting from reliance on our reports or advice.
7. Client Responsibilities
By engaging our services, you agree to:
- Provide accurate and complete information about the supplier and product you wish to evaluate.
- Use our reports and information solely for lawful purposes.
- Not share our confidential reports with third parties without our written consent.
- Conduct your own due diligence before committing to any purchase.
- Comply with all applicable import/export laws and regulations in your country.
8. Intellectual Property
All reports, video footage, photographs, and written content produced by SourciaVera are our intellectual property. Upon full payment, we grant you a personal, non-transferable license to use these materials for your own business purposes. You may not resell, publish, or distribute our reports without prior written permission.
9. Confidentiality
Both parties agree to treat as confidential any sensitive business information disclosed during the engagement. SourciaVera will not disclose your identity or inquiry details to any third party (including the supplier being evaluated) without your consent, except as required by law.
10. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from or related to these terms shall first be subject to good-faith negotiation. If unresolved, disputes shall be referred to binding arbitration in Guangzhou, China.
11. Changes to These Terms
We may update these Terms of Service from time to time. The most current version will always be available on this page with the date of last update. Continued use of our services after any changes constitutes acceptance of the revised terms.
